Terms of Business

1. Introduction


These Terms of Business govern the commercial relationship between TL Group Holdings
LTD (“we”, “us”, “our”) and incorporated UK businesses (“Client”, “you”, “your”) entering
into a formal agreement with us.


All services are provided strictly on a business-to-business (B2B) basis. We do not provide
services to consumers.

2. Nature of Services


TL Group Holdings LTD enters into structured commercial agreements with UK-registered
businesses.
Under these agreements, we may:

  •  Provide structured recurring payment arrangements;

  •  Supply goods under agreed commercial terms; or

  •  Enter into other contract-based commercial arrangements documented in writing.

 

All agreements are governed by formal signed contracts specifying payment structure,
duration, and obligations of both parties.

3. Eligibility


To enter into an agreement with us, a business must:

  •  Be registered and operating in the United Kingdom;

  •  Be represented by a registered director or authorised signatory;

  •  Provide required identification and verification documentation;

  •  Successfully complete our onboarding and due diligence procedures.

 

We reserve the right to decline any application at our discretion.

4. Payment Structure


All payment terms are clearly documented within the signed commercial agreement.

  •  Payments are collected on a fixed weekly schedule;

  •  Payment amounts vary depending on the individual agreement;

  •  Payments are collected via approved UK banking systems;

  •  Early settlement is not permitted unless expressly stated in writing.

 

Clients are responsible for ensuring sufficient funds are available on scheduled collection
dates.

5. Client Responsibilities


Clients agree to:

  •  Provide accurate and complete information during onboarding;

  •  Notify us of any changes to company structure or bank details;

  •  Maintain lawful trading operations;

  •  Comply with all contractual obligations.

6. Default


In the event of a missed payment:

  •  We may contact the Client to resolve the matter;

  •  A formal notice may be issued in accordance with the agreement;

  •  Further action may be taken as permitted under contract and UK law.

7. Compliance & Verification


We operate structured compliance procedures including:

  •  Identity verification

  •  Companies House checks

  •  Sanctions screening

  •  Ongoing monitoring

 

We reserve the right to suspend or terminate agreements where compliance concerns arise.

8. Limitation of Liability


To the extent permitted by law, TL Group Holdings LTD shall not be liable for indirect,
incidental, or consequential losses arising from the use of our services.


Nothing in these Terms limits liability where it would be unlawful to do so.

9. Data Protection


We process personal and business data in accordance with:

  •  UK GDPR

  •  Data Protection Act 2018

10. Governing Law


These Terms of Business are governed by the laws of England and Wales.


Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
